Terms of service

Welcome to PlanPoint ("the Service"), a Software as a Service (SaaS) product designed for engineers to generate reports on site and for back-office staff to manage these reports. These Terms of Service ("Agreement") outline the terms of use for the Service and govern your relationship with PlanPoint ("the Company") and your access to and use of the Service. By using the Service, you agree to comply with and be bound by these Terms of Service. If you do not agree with any part of these terms, please refrain from using the Service.

Subscription and Access

1. Access to the Service is granted to registered users who have paid a subscription fee to the Company.
2. The subscription grants the user a non-exclusive, non-transferable right to access and use the Service and its associated web portal for their internal business operations.

Ownership and Use of Data

1. All data, including diagrams, reports, and any other content generated by the Service ("User Data"), shall be owned exclusively by the Company.
2. By using the Service, you grant the Company a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display the User Data solely for the purpose of providing and improving the Service.
3. The Company will handle User Data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) and its provisions.

Restrictions on Use

1. Users shall not reproduce, duplicate, copy, sell, trade, or resell the Service or any portion of it for any purpose, including creating a competing product or service.
2. Users shall not reverse engineer, decompile, or create derivative works based on the Service or its components.

Account Users and Billing

1. Each company account can add an unlimited number of users, all of whom will be billable under the account's subscription as per our pricing.
2. The account holder is responsible for managing the subscription, including account users, cancellation, and ensuring adherence to the "one user account per person" policy.
3. Users are prohibited from sharing their account credentials with others.
4. The Company has the right to amend the pricing at any time but will provide a minimum of 30 days notice to the user.

Cancellation and Refund Policy

1. Subscriptions can be cancelled at any time. If cancelled before the end of the billing cycle, the service will remain accessible until the end of the current cycle.
2. The Company does not offer refunds for unused portions of subscription periods.

Intellectual Property

1. All intellectual property rights, including copyrights, trademarks, and any other proprietary rights associated with the Service, belong solely to the Company.
2. Users shall not modify, adapt, or create derivative works based on the Service's technology or any part thereof.

Limitation of Liability

1. The Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Service or any inability to use it, including but not limited to loss of profits, data, or other intangible losses.
2. The Company does not warrant that the Service will be error-free, uninterrupted, or free of viruses or other harmful components.

Privacy and Data Protection

2. By using the Service, you consent to the collection, use, and storage of your personal data as outlined in the Privacy Policy.

Termination

1. The Company reserves the right to suspend or terminate your access to the Service at any time without prior notice, for any reason, including but not limited to a breach of these Terms of Service.
2. Upon termination, all rights granted to you under these Terms of Service will cease, and you must immediately cease using the Service.

Modifications to Terms of Service

1. The Company reserves the right to modify these Terms of Service at any time without prior notice.
2. Your continued use of the Service after any modifications to the Terms of Service constitutes your acceptance of the revised terms.

Governing Law and Jurisdiction

1. These Terms of Service shall be governed by and construed in accordance with the laws of jurisdiction.
2. Any disputes arising out of or relating to these Terms of Service shall be subject to the exclusive jurisdiction of the courts of jurisdiction.
